Terms of Service

Draft pending legal review. These Terms must be reviewed by qualified counsel before paid public launch.

These Terms of Service (“Terms”) govern your access to and use of Reanimator, including our website, applications, generation tools and related services.

1. Who we are

Reanimator is operated by Al&Sha LLC, a limited liability company organized under the laws of the State of New Mexico, United States.

Al&Sha LLC is referred to in these Terms as “Reanimator,” “we,” “us” or “our.”

2. Acceptance and eligibility

By creating an account, purchasing a subscription or using Reanimator, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy and any additional terms displayed for a particular feature or third-party model.

You must be at least 18 years old and legally capable of entering into a binding contract.

If you use Reanimator on behalf of a company, studio, agency or other organization, you represent that you have authority to bind that organization to these Terms.

A person using Reanimator mainly for purposes outside their trade, business, craft or profession may qualify as a “Consumer.” Other users are “Business Users.”

3. Accounts and security

You must provide accurate account and billing information and keep it up to date.

You are responsible for:

  • maintaining the confidentiality of your account credentials;
  • all activity conducted through your account;
  • restricting unauthorized access to your account; and
  • notifying us promptly if you suspect unauthorized use.

You may not share an individual account with other people unless your subscription expressly permits multiple users.

4. The service

Reanimator allows users to upload or import audiovisual material, annotate frames, create keyframes, retime motion and generate or edit audiovisual content using artificial intelligence tools.

Reanimator may use third-party generative models and infrastructure providers. Availability, supported formats, generation times and output quality may vary depending on the selected provider.

Unless expressly stated otherwise, Reanimator does not guarantee:

  • that a particular model will remain available;
  • that a generation will complete within a specific time;
  • that an output will exactly follow your instructions;
  • that outputs will be free from visual defects, inconsistencies or artifacts; or
  • uninterrupted or error-free availability.

Reanimator may be offered as a beta or preview service. Beta features may be changed, limited or withdrawn.

5. Third-party AI providers

Some Reanimator features are powered by models developed and operated by third parties.

Where reasonably possible, Reanimator will identify the relevant provider or model before you submit content for processing. Provider-specific restrictions, supported uses or additional terms may apply and will be disclosed or linked where appropriate. See our AI Provider Terms.

By selecting a third-party model, you authorize us to transmit the content and instructions necessary to perform the requested generation.

We are not responsible for changes made independently by third-party providers to their models, availability, policies or technical requirements.

If a provider-specific term directly conflicts with these Terms regarding the use of that provider’s model, the provider-specific term will control only for that model and only to the extent of the conflict.

6. Your Content

“Your Content” means footage, images, audio, prompts, masks, annotations, keyframes, instructions and other material you upload or submit to Reanimator.

You retain all rights you hold in Your Content.

You grant Reanimator a limited, non-exclusive, worldwide and royalty-free license to host, copy, transmit, modify and process Your Content only as reasonably necessary to:

  • provide the service you request;
  • transmit it to the model provider you select;
  • maintain the security and integrity of the service;
  • investigate fraud, abuse or technical failures;
  • enforce these Terms; and
  • comply with applicable law.

This license ends when the relevant content is deleted from our active systems, except for temporary backup copies, legally required retention and information reasonably required to resolve disputes or prevent abuse.

Reanimator does not sell Your Content.

Reanimator does not use Your Content to train its own generative models. We will not knowingly authorize a third-party model provider to use Your Content for model training unless this is clearly disclosed before you use that provider.

7. Your responsibilities for uploaded content

You represent and warrant that:

  1. you own Your Content or have all permissions necessary to upload and process it;
  2. you have obtained any required permission from identifiable people whose image, voice, likeness or personal information appears in it;
  3. processing Your Content through Reanimator does not violate privacy, publicity, intellectual-property, contractual or other rights;
  4. Your Content and requested use comply with applicable law; and
  5. you are not submitting confidential information that you are prohibited from disclosing.

You remain responsible for determining whether consent, disclosure, releases or licenses are required for your project.

8. Generated Output

“Output” means audiovisual or other material generated or modified through Reanimator in response to your instructions.

As between you and Reanimator:

  • Reanimator does not claim ownership of your Output; and
  • to the extent Reanimator acquires any transferable rights in an Output created specifically for you, Reanimator assigns those rights to you.

This assignment is subject to applicable law, your compliance with these Terms and any provider-specific restrictions disclosed before generation.

You acknowledge that:

  • AI-generated material may not qualify for copyright or other exclusive rights in every jurisdiction;
  • similar or identical outputs may be generated for other users;
  • an Output may unintentionally resemble existing content;
  • Reanimator does not guarantee that an Output is unique or non-infringing; and
  • you are responsible for reviewing an Output before publishing or commercially using it.

9. Privacy and confidentiality

Our handling of personal information is described in our Privacy Policy.

Unless you choose to share content publicly, we will treat Your Content and Output as non-public and will disclose them only:

  • as necessary to provide the service;
  • to service providers acting on our behalf;
  • when reasonably necessary to investigate abuse or security incidents;
  • with your authorization; or
  • where required by law.

Retention periods, subprocessors, international data transfers and account-deletion procedures are described in the Privacy Policy.

10. Acceptable use

You may not use Reanimator to create, process, facilitate or distribute:

  1. child sexual abuse material or sexual content involving minors;
  2. non-consensual intimate or sexual content;
  3. content that unlawfully infringes copyright, trademark, privacy, image, publicity or other rights;
  4. deceptive impersonation, fraud, identity theft or social engineering;
  5. realistic manipulated content depicting an identifiable person as having said or done something when you lack the required authorization and intend to deceive or cause harm;
  6. false audiovisual material presented as authentic documentation of a real event where it is intended to materially deceive;
  7. credible threats, targeted harassment or unlawful incitement to violence;
  8. content whose creation, possession or distribution is illegal;
  9. attempts to circumvent safety systems, access restrictions, rate limits or credit controls; or
  10. malware, unauthorized surveillance or unlawful collection of personal data.

You may not:

  • resell access to Reanimator unless expressly authorized;
  • access the service through automated means outside a documented API;
  • reverse engineer or interfere with the service except where applicable law expressly permits it;
  • use stolen payment details;
  • create accounts to evade a suspension; or
  • use the service in violation of applicable sanctions or export-control laws.

11. AI transparency and provenance

You are responsible for making any disclosure required by law when publishing or distributing AI-generated or materially manipulated content.

This is particularly relevant when an Output:

  • realistically depicts an identifiable person;
  • alters footage of an actual event;
  • could reasonably be mistaken for authentic footage; or
  • is used in advertising, journalism, politics, public communications or another context where authenticity is material.

Reanimator or an underlying provider may add provenance information, authenticity metadata, invisible markers, labels or other technical indications that content has been generated or manipulated using AI.

You may not remove, conceal or falsify such information when doing so would violate applicable law or facilitate deception.

Nothing in this section requires an unnecessarily disruptive visible label where applicable law permits disclosure to be made in another appropriate manner.

12. Credits

Generation features consume credits.

The number of credits required for a generation may depend on factors including:

  • the selected model;
  • duration;
  • resolution;
  • processing mode; and
  • requested features.

The applicable credit cost or estimate will be shown before submission where reasonably possible.

Credits may be reserved when a generation job is submitted and consumed when the job succeeds.

If a generation fails because of a technical error attributable to Reanimator or the selected provider, reserved credits will normally be returned.

Credits may be consumed where:

  • the generation completed but the result did not match your subjective expectations;
  • a provider incurred processing costs before the job was cancelled;
  • a submission was rejected because it violated these Terms or a clearly disclosed provider policy; or
  • the service clearly disclosed before submission that a particular operation was non-refundable.

Monthly subscription credits expire at the end of the applicable billing period and do not roll over unless the pricing page expressly states otherwise.

If Reanimator offers separately purchased credit packs, their expiration and rollover conditions will be displayed before purchase.

Credits:

  • have no cash value;
  • are not legal tender;
  • are not transferable except where expressly permitted;
  • cannot be redeemed for money; and
  • may not be sold independently of an authorized account transfer.

13. Subscriptions, renewal and billing

Paid subscriptions automatically renew for successive billing periods unless cancelled before the next renewal date.

By purchasing a subscription, you authorize our payment processor to charge the subscription price and applicable taxes to your selected payment method on each renewal date.

The applicable:

  • price;
  • billing frequency;
  • credit allowance;
  • included features;
  • taxes; and
  • renewal date

will be displayed before you complete the purchase.

Prices displayed to Consumers will include applicable taxes where required by law. Prices displayed to Business Users may exclude taxes where legally permitted.

Payments are processed by Stripe or another identified payment provider. Reanimator does not directly store complete payment-card details.

You may cancel automatic renewal through your billing settings. Cancellation prevents future renewals but does not normally terminate access before the end of the period already paid for.

Upgrades may take effect immediately. Downgrades normally take effect at the next renewal date. Any different treatment will be displayed before confirmation.

14. Refunds

Except where required by law or expressly stated otherwise, payments are non-refundable after the applicable service or credits have been supplied or used.

We may provide a refund or account credit where:

  • you were incorrectly charged;
  • a material technical failure prevented use of the purchased service;
  • we discontinue a paid service during a prepaid period; or
  • applicable law requires a refund, price reduction or other remedy.

A generation that completes successfully is not defective solely because the creative result does not meet your subjective expectations.

This section does not limit any mandatory legal rights.

15. European and UK Consumers

This section applies when you qualify as a Consumer in the European Economic Area, European Union or United Kingdom.

15.1 Mandatory rights

Nothing in these Terms limits rights that cannot legally be waived, including mandatory rights concerning:

  • pre-contract information;
  • unfair contract terms;
  • digital services and digital content;
  • remedies for lack of conformity;
  • automatic renewal;
  • cancellation; and
  • withdrawal from distance contracts.

15.2 Immediate performance

When purchasing a subscription, you may request immediate access to Reanimator before the end of any applicable withdrawal or cooling-off period.

Where required, we will ask you separately at checkout to expressly request immediate performance.

If you validly withdraw after requesting immediate performance, we may deduct or charge an amount proportionate to the service already supplied, where applicable law permits.

15.3 Immediately supplied digital content

An individual generated Output may be treated as digital content supplied immediately.

Where required by law, before initiating that supply we will request:

  • your prior express consent to immediate supply; and
  • your acknowledgement that you may lose the applicable right of withdrawal once supply begins or is completed.

No statutory withdrawal right is waived unless the legally required consent, acknowledgement and confirmation have been obtained.

15.4 Lack of conformity

If a digital service or digital content does not conform to the contract, you may have a legal right to:

  • have the service brought into conformity;
  • receive a proportionate price reduction; or
  • terminate the affected contract,

subject to the requirements of applicable law.

16. Changes to the service

We may change the service for reasons including:

  • improving features or performance;
  • maintaining security;
  • complying with law;
  • adapting to provider or infrastructure changes;
  • preventing abuse;
  • correcting errors; or
  • maintaining the commercial sustainability of the service.

We will not materially reduce the core functionality of a paid plan during its current billing period without reasonable notice, except where an immediate change is necessary for security, legal compliance or circumstances outside our reasonable control.

If a change materially and negatively affects an ongoing paid service, you may have the right to terminate the affected subscription and receive a proportionate refund where required by law.

We may discontinue a feature or plan. Where practical, we will provide reasonable advance notice.

17. Suspension and termination

You may stop using Reanimator or delete your account at any time.

We may restrict, suspend or terminate access where:

  • you materially or repeatedly breach these Terms;
  • your use creates a security, legal or operational risk;
  • payment remains overdue;
  • we reasonably suspect fraud or unauthorized access;
  • required by law or a provider whose service is necessary to fulfil your request; or
  • continuing to provide the service has become impractical.

Where appropriate, we will provide notice and a reasonable opportunity to correct the issue before termination. Immediate action may be taken for serious abuse, security incidents, unlawful content or urgent legal requirements.

If we terminate a paid account without cause, we will provide a proportionate refund for the unused prepaid period.

If an account is terminated for a serious breach, unused credits may be forfeited to the extent permitted by law.

You should export any material you wish to keep before deleting your account. Content may be deleted according to the retention periods in our Privacy Policy.

18. Intellectual-property complaints

We respect intellectual-property rights.

If you believe material processed or made available through Reanimator infringes your rights, send a notice to legal@reanimator.app containing:

  • your contact information;
  • identification of the protected work or right;
  • identification of the allegedly infringing material;
  • enough information for us to locate it;
  • a statement explaining your good-faith belief; and
  • a statement that the information supplied is accurate and that you are authorized to act.

We may restrict accounts belonging to repeat infringers where appropriate.

19. Disclaimers

To the maximum extent permitted by law, Reanimator is provided “as is” and “as available.”

We disclaim implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that:

  • every generation will succeed;
  • Output will be unique;
  • Output will qualify for copyright protection;
  • Output will be appropriate for a specific commercial or legal use;
  • the service will always be available; or
  • all defects will be corrected.

Generative models may produce unexpected, inaccurate, offensive or defective material. You are responsible for reviewing Output before using, publishing or relying on it.

Nothing in this section excludes statutory warranties or consumer rights that cannot legally be excluded.

20. Limitation of liability

To the maximum extent permitted by law, Reanimator and its officers, members, employees, contractors and providers will not be liable for indirect, incidental, special, exemplary, consequential or punitive damages, or for loss of profits, revenue, business opportunity, goodwill or data.

For Business Users, our total aggregate liability arising from or relating to the service or these Terms will not exceed the greater of:

  1. the amount you paid Reanimator during the 12 months immediately preceding the event giving rise to the claim; or
  2. one hundred US dollars (US $100).

For Consumers, these limitations apply only to the extent permitted by the mandatory law applicable to you.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by negligence.

21. Indemnification by Business Users

This section applies only to Business Users.

You will defend, indemnify and hold harmless Reanimator and its affiliates, officers, members, employees and contractors from third-party claims, damages, liabilities and reasonable legal costs arising from:

  • Your Content;
  • your Output or its publication;
  • your breach of these Terms;
  • your infringement of third-party rights; or
  • your unlawful use of the service.

You have no obligation to indemnify Reanimator to the extent that a claim was caused by Reanimator’s own breach, gross negligence or wilful misconduct.

22. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law principles.

For Business Users, the state and federal courts located in New Mexico will have exclusive jurisdiction over disputes arising from these Terms, and each party consents to that jurisdiction.

If you are a Consumer:

  • this choice of law does not deprive you of mandatory protections available under the law of your habitual residence;
  • you may bring proceedings in any court available to you under mandatory applicable law; and
  • nothing in these Terms requires you to bring a claim exclusively in New Mexico where such a requirement would be unlawful.

Before filing a formal claim, you and Reanimator agree to make a reasonable attempt to resolve the dispute by contacting legal@reanimator.app.

Consumers resident in the European Union may also submit a complaint through the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr. We are not obliged and do not commit to participate in proceedings before a consumer arbitration board, but we will always try to resolve complaints directly.

23. Changes to these Terms

We may update these Terms to reflect changes to the service, providers, law, security requirements or business operations.

The updated Terms will apply prospectively from the effective date shown at the top.

If a change materially affects existing paid users, we will provide reasonable notice by email or through the service before the change takes effect.

Where legally required, we will request express acceptance or allow you to terminate the affected paid service.

24. General provisions

These Terms, together with incorporated policies and any applicable order or provider-specific terms, form the entire agreement concerning the service.

If a provision is unenforceable, it will be interpreted or modified only to the minimum extent necessary, and the remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver.

We may assign these Terms as part of a merger, acquisition, corporate reorganization or sale of the service, provided that doing so does not reduce mandatory Consumer rights.

You may not assign a Business account without our written consent.

We are not liable for delays caused by events outside our reasonable control.

Translations may be provided for convenience. The English version controls except where mandatory applicable law requires otherwise.
